1. Agreement to Terms

By accessing or using ReDesign Solutions's services, website, or any related applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access our Services.

These Terms constitute a legally binding agreement between you (whether an individual or entity) and ReDesign Solutions, a qualified pipeline infrastructure provider for growing businesses.

2. Description of Services

ReDesign Solutions provides pipeline, qualification, conversion, and authority support for businesses, including but not limited to:

Qualified pipeline infrastructure
Qualification and handoff workflows
Authority and content support
Conversion layer and platform integration
Reporting and feedback systems
CRM Integration & Management
Brand Strategy

The specific services provided will be detailed in individual service agreements or statements of work.

3. User Accounts and Registration

To access certain features of our Services, you may be required to create an account. You agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your password and account
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or illegal activities.

4. Client Responsibilities

As a client of ReDesign Solutions, you agree to:

Provide necessary access to websites, accounts, and platforms required for service delivery
Supply accurate business information and marketing materials
Respond to requests for information in a timely manner
Review and approve deliverables within agreed timeframes
Ensure all provided content complies with applicable laws and regulations
Maintain appropriate licenses for any third-party tools or content
Cooperate in good faith to achieve project objectives

5. Payment Terms

Fees and Billing

Payment terms will be specified in individual service agreements. Standard terms include:

Monthly retainer fees are due in advance
Project-based fees follow the payment schedule in the contract
Additional services will be billed at agreed hourly or project rates
All fees are non-refundable unless otherwise specified
Late payments may incur interest charges of 1.5% per month

Third-Party Costs

Clients are responsible for third-party costs including but not limited to:

Advertising spend (Google Ads, Facebook Ads, etc.)
Software subscriptions and licenses
Stock photography and media assets
Domain and hosting fees

6. Intellectual Property Rights

Client Content

You retain ownership of all content you provide to ReDesign Solutions. By providing content, you grant us a license to use, modify, and display such content as necessary to perform our Services.

ReDesign Solutions Work Product

Upon full payment, clients receive ownership of custom deliverables created specifically for them, excluding:

ReDesign Solutions's proprietary methodologies and processes
Pre-existing intellectual property and templates
Third-party licensed materials
General knowledge and skills

Portfolio Rights

ReDesign Solutions retains the right to display work created for clients in our portfolio and marketing materials unless specifically prohibited in writing.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes:

Business strategies and plans
Financial information
Customer lists and data
Technical specifications
Marketing strategies and campaigns

Confidentiality obligations survive termination of these Terms for a period of three (3) years.

8. Warranties and Disclaimers

Service Warranty

ReDesign Solutions warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. REDESIGN SOLUTIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ReDesign Solutions does not guarantee specific results, rankings, or performance metrics unless explicitly stated in a service agreement.

9. Limitation of Liability

IN NO EVENT SHALL REDESIGN SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES.

ReDesign Solutions's total liability for any claim shall not exceed the amount paid by the client for the services giving rise to the claim in the six (6) months preceding the event.

10. Indemnification

You agree to indemnify, defend, and hold harmless ReDesign Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

Your breach of these Terms
Your violation of any laws or regulations
Your infringement of third-party rights
Content you provide to us
Your use of our Services

11. Term and Termination

Term

These Terms remain in effect until terminated by either party.

Termination

Either party may terminate services upon written notice as specified in the service agreement. Standard notice periods are:

Monthly retainers: 30 days written notice
Project-based work: As specified in the agreement
Immediate termination for material breach

Effect of Termination

Upon termination:

All outstanding fees become immediately due
ReDesign Solutions will provide final deliverables for paid work
Client data will be returned or destroyed as requested
Access to ReDesign Solutions platforms and tools will be revoked

12. Dispute Resolution

Negotiation

Parties agree to attempt to resolve disputes through good faith negotiation before pursuing other remedies.

Arbitration

Any dispute not resolved through negotiation shall be settled by binding arbitration in accordance with the Arbitration Act 1996.

Jurisdiction

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

13. General Provisions

Entire Agreement

These Terms, together with any service agreements, constitute the entire agreement between the parties.

Amendments

ReDesign Solutions reserves the right to modify these Terms at any time. Material changes will be notified via email or website notice.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.

Waiver

No waiver of any term shall be deemed a further waiver of the same or any other term.

Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control.

14. Acceptable Use Policy

You agree not to use our Services to:

Violate any laws or regulations
Infringe on intellectual property rights
Distribute malware or harmful code
Engage in fraudulent or deceptive practices
Harass, abuse, or harm others
Send spam or unauthorized communications
Compromise the security of any system
Engage in any activity that disrupts our Services
